Article 1 — Purpose
These Terms and Conditions (hereinafter "T&C") define the conditions under which Reputacion SAS, a simplified joint-stock company with a share capital of €1,000, registered with the Nancy Trade and Companies Register under number 789 404 993, headquartered at 31 rue du Chanoine Boulanger, 54220 Malzéville (Nancy), France (hereinafter "Reputacion"), provides its services to any professional user (hereinafter "the Client") subscribing to its offerings via the reputacion.io website. By creating an account and using our services, the Client acknowledges having read and unconditionally accepts these T&C.
Article 2 — Services Offered
Reputacion offers a SaaS (Software as a Service) online reputation management platform accessible via web browser. The platform enables:
- Automated collection of customer reviews via personalized email, SMS, and QR code campaigns
- Centralized management and response to Google Business Profile reviews, with AI-assisted responses
- Display of reviews on the Client's website through customizable widgets (carousel, masonry, marquee, cards, etc.)
- Statistical tracking and online reputation analysis (average ratings, trends, review volumes)
- Multi-location management with group and role-based assignment
- Local SEO optimization through improved Google presence
Article 3 — Availability and Service Levels
Reputacion commits to using all reasonable means to ensure platform availability 24/7, with an availability target of 99.5% on a monthly basis, excluding scheduled maintenance. Scheduled maintenance operations will be announced at least 48 hours in advance and performed outside peak hours where possible. In case of unscheduled interruption, Reputacion commits to informing users and restoring service as quickly as possible.
Article 4 — Pricing
Prices for different plans are indicated on the Pricing page of the reputacion.io website. All prices are expressed in euros excluding taxes (excl. VAT). Applicable VAT will be added at the time of billing according to the current rate. Reputacion reserves the right to modify its prices. Any pricing change will be notified to the Client by email at least 30 days before it takes effect. New prices will apply at the next subscription renewal.
Article 5 — Payment Terms
Payment is made by credit card through our secure payment provider Stripe, PCI-DSS Level 1 certified. Subscriptions are billed monthly or annually depending on the chosen plan. An invoice is made available in the client dashboard after each payment. In case of payment default, a reminder will be sent by email. Without resolution within 15 days, access to services may be suspended. Suspension does not exempt the Client from their payment obligation.
Article 6 — Duration and Termination
The subscription is concluded for an indefinite period with a monthly or annual billing period depending on the chosen plan. The Client may cancel their subscription at any time from their client dashboard, without fees or penalties. Cancellation will take effect at the end of the current billing period. The Client retains access to services until that date. No prorated refunds will be issued for the remaining period. Upon termination, Client data will be retained for 30 days then permanently deleted, unless legal retention obligations apply.
Article 7 — Right of Withdrawal
In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not provided on a tangible medium whose execution has begun with the consumer's prior express consent and express waiver of their right of withdrawal. By accepting these T&C and immediately accessing the services, the Client expressly waives their right of withdrawal.
Article 8 — Liability
Reputacion commits to providing its services with diligence and in accordance with industry standards. However, this constitutes an obligation of means, not of result. Reputacion's liability shall not be engaged in cases of: force majeure as defined by Article 1218 of the French Civil Code, malfunction of electronic communication networks beyond Reputacion's control, non-compliant use of services by the Client, content published by third parties (customer reviews). In any event, Reputacion's total liability is limited to the amounts actually paid by the Client during the 12 months preceding the event.
Article 9 — Intellectual Property
The Reputacion platform, including its source code, features, design, algorithms, and documentation, is protected by French and international intellectual property rights. The Client is granted a personal, non-exclusive, non-assignable, and non-transferable right of use for the duration of their subscription. Any unauthorized reproduction, modification, decompilation, or extraction is strictly prohibited.
Article 10 — Data Protection
Reputacion processes the Client's personal data in accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act. Processing details are described in our Privacy Policy. The Client has the right to access, rectify, delete, and port their data. Upon termination, the Client may request data export in a structured, machine-readable format (JSON/CSV) within 30 days following the end of the subscription.
Article 11 — Applicable Law and Disputes
These T&C are subject to French law. In case of dispute regarding the interpretation, validity, or execution of these T&C, the parties commit to seeking an amicable solution within 30 days. In accordance with consumer law provisions, the Client may use the free mediation service of CMAP (Paris Mediation and Arbitration Center — www.cmap.fr). Failing amicable resolution, the competent courts of Nancy shall have sole jurisdiction.
